PURCHASE AGREEMENT

The client (“Buyer”) desires to purchase research MATERIAL from https://synthwellness.org  (“Synth Wellness”). The purpose of this Agreement is to allow the parties to determine the conditions and restrictions of the sale and purchase of the material.

As used herein, the term “MATERIAL” means any product and/or services which Buyer purchases or obtains from Synth Wellness including, but not limited to, peptides, proteins, liquids, powders, chemicals, labware, and hardware.

Furthermore, it is agreed that all purchases of MATERIAL by Buyer from Synth Wellness shall be governed by the following terms and conditions:

  1. All products on this site are for research and development use only. Products are not for human consumption of any kind.
  2. The statements made on this website have not been evaluated by the US Food and Drug Administration.
  3. The statements and the products of this company are not intended to diagnose, treat, cure, or prevent any disease.
  4. Synth Wellness is a chemical supplier. Synth Wellness is not a compounding pharmacy or chemical compounding facility as defined under 503A of the Federal Food, Drug, and Cosmetic Act. Synth Wellness is not an outsourcing facility as defined under 503B of the Federal Food, Drug, and Cosmetic Act.
  5. All products are sold for research, laboratory, or analytical purposes only, and are not for human consumption. Basic scientific research does NOT include any clinical, diagnostic, or human research. The purposes not intended for MATERIAL sold here include but are not limited to, in vitro diagnostic purposes, in foods, drugs, medical devices, or cosmetics for humans or animals or for commercial purposes.
  6. Buyer agrees that MATERIAL will NOT be used for any human or animal consumption and is for qualified professionals only.
  7. You must be at least 21 (twenty one) years of age to purchase MATERIAL on this website.
  8. All payments made payable to Synth Wellness
  9. Buyer agrees that Synth Wellness will not take any legal responsibilities for improper usage of our MATERIAL. In no event shall Synth Wellness, or any of its affiliates be liable for special, incidental or consequential damages, whether Buyer’s claim in contract, negligence, strict liability or otherwise. In consideration of the sale of the product to the Buyer, which sales we would not otherwise make, Buyer agrees to indemnify and hold Synth Wellness harmless from all claims, expenses, losses and liability of any nature whatsoever arising out of Buyer’s handling and/or use of any product sold here, whether used alone or in combination with any other substance no matter what its origination.
  10. In purchasing these MATERIAL, the customer acknowledges that there are hazards associated with their handling and use. Customer represents and warrants to us that from customer’s own independent review and study they are fully aware and knowledgeable about (I) the health and safety hazards associated with the handling of the MATERIAL purchased; (II) industrial hygiene controls necessary to protect its workers from such health and safety hazards; (III) the need to adequately warn of health and safety hazards associated with MATERIAL; and (IV) government regulations regarding the use of and exposure to such MATERIAL. We reserve the right to limit sales of MATERIAL or not to sell MATERIAL to unqualified customers.
  11. Synth Wellness does not warrant that the use or sale of the MATERIAL delivered hereunder will not infringe the claims of any United States or other patents covering the product itself or the use thereof in combination with other MATERIAL or in the operation of any process. The listing of a MATERIAL on this website does not constitute a license to, or a recommendation for its use in infringement of any patent whatsoever. It is understood that all of the MATERIAL purchased here will be handled only by qualified and trained individuals.
  12. The Buyer of this MATERIAL conveys to Synth Wellness the limited, non-transferable right to use the purchased amount of the MATERIAL only to perform internal research for the sole benefit of the Buyer. No right to resell this product or any of its components is conveyed expressly, by implication, or by estoppel. Buyer warrants to Synth Wellness that it will not export the MATERIAL for any purpose. This product is for internal research purposes only and is not for use in commercial applications of any kind, including, without limitation, quality control and commercial services such as reporting the results of Buyer’s activities for a fee or other form of consideration. If the Buyer intends to sell, supply, repackage, relabeled or use as starting MATERIAL or components of other MATERIAL, or in any way provide the MATERIAL to a third party, then the Buyer agrees to document the third party and provide the third party’s information to Synth Wellness for verification and approval. The Buyer agrees to obtain Verified Peptide’s expressed written approval PRIOR to Buyer providing any MATERIAL to any third party.
  13. Buyer acknowledges that the MATERIAL have not been tested by Synth Wellness for safety and efficacy in food, drug, and medical device, cosmetic, commercial or any other use. Buyer expressly represents and warrants to Synth Wellness that Buyer will properly test and use any MATERIAL purchased from Synth Wellness and/or MATERIALs produced with MATERIAL purchased from Synth Wellness in accordance with the practices of any reasonable person who is an expert in any appropriate scientific field of study and in strict compliance with all applicable state and federal laws and regulations, now and hereinafter enacted.
  14. Buyer further warrants to Synth Wellness that any MATERIAL produced with MATERIAL from Synth Wellness shall not be adulterated or misbranded within the meaning of the Federal Food, Drug and Cosmetic Act and shall not be MATERIALs which may not, under Sections 404, 505, or 512 of the Act, be introduced into interstate commerce.
  15. Buyer realizes that, since Synth Wellness MATERIAL are, unless otherwise stated, intended primarily for research purposes nothing else, they may not be on the Toxic Substances Control Act (TSCA) inventory. Buyer assumes responsibility to assure that the MATERIAL purchased from Synth Wellness are approved for use under TSCA, if applicable.
  16. Buyer has the responsibility to verify the hazards and to conduct any further research necessary to learn the hazards involved in using MATERIAL purchased from Synth Wellness. Buyer also has the duty to warn Buyer’s customers and any auxiliary personnel (such as freight handlers, etc.) of any risks involved in using or handling the MATERIAL.
  17. Buyer agrees to comply with instructions, if any, furnished by Synth Wellness relating to the use of the MATERIAL and not misuse of the MATERIAL in any manner.
  18. By placing orders with this Synth Wellness it is understood by the Buyer that under no circumstances should any of these MATERIALs be used in an inappropriate manner. All Buyers are assumed and expected to be qualified researchers.
  19. Buyer agrees that they may not post, review or publicly attack the Synth Wellness with any false information about Synth Wellness’s MATERIAL. Buyer agrees that any court filings must be filed and heard in the local county Synth Wellness’s operates from. Buyer further agrees to pay all company expenses relating to attorney’s fees, filing fees, and any other expenses in relation to the case.
  20. This Agreement contains the entire agreement and understanding between the parties hereto with respect to the subject matter hereof. No modification or alteration of this Agreement shall be effective unless made in writing and signed by both parties hereto. This Agreement shall insure to the benefit of and be binding upon the parties hereto, their successors and assigns.
  21. Nothing in this Agreement shall be construed to establish or require the establishment of any contract or arrangement of any kind, other than regarding the restrictions on disclosure and use, including without limitation a contract or arrangement for research or product development between the parties hereto or any transfer, license, or purchase of technology by the parties hereto.
  22. This Agreement is entered into under, and shall be construed in accordance with, the laws of the United States of America.
  23. Neither the discontinuation of discussions between the parties hereto regarding the subject matter of the Disclosure nor any other fact (except express written modification hereof) shall relieve either party from its obligations hereunder.
  24. The provisions hereof shall be binding and enforceable only to the extent permitted by applicable law and shall be limited to the extent necessary such that they will not render this Agreement illegal, invalid or unenforceable. If any term hereof shall be held illegal, invalid or unenforceable by a court of competent jurisdiction, the parties intend that the remaining provisions hereof shall constitute their agreement with respect to the subject matter hereof and shall remain in full force and effect.

We accept credit cards as a form of payment. Please be sure to provide your exact billing address and telephone number (i.e. the address and phone number your credit card bank has on file for you). Incorrect information will cause a delay in processing your order.   Credit Card purchases will appear on your bill as synthwellness.org. A card processing fee (%) may be added to your order.

MULTIPLE PRODUCT ORDERS

For multiple product orders, we will make every attempt to ship all items contained in that order at the same time. Products that are unavailable at the time of shipping will be shipped as they become available, unless you inform us otherwise. You will only be charged for products contained in a given shipment, plus any applicable shipping charges. You will only be charged for shipping at the rate quoted to you on your purchase receipt. The entirety of this shipping charge will be applied to the first product(s) shipped on a multiple shipment order.

ORDER ACCEPTANCE POLICY

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Synth Wellness reserves the right at any time after receipt of your order to accept or decline your order for any reason or to supply less than the quantity you ordered of any item.

OTHER CONDITIONS

These conditions will supersede any terms and/or conditions you include with any purchase order, regardless of whether this store signs them or not. Synth Wellness reserves the right to make changes to this site and these conditions at any time.

OUT-OF-STOCK PRODUCTS

We will ship your product as it becomes available. Usually, products ship by the next business day. However, there may be times when the product you have ordered is out-of-stock, which will delay fulfilling your order. We will keep you informed of any products that you have ordered that are out-of-stock and unavailable for immediate shipment. You may cancel your order at any time prior to shipping.

PRIVACY

We keep your personal information private and secure. When you make a purchase from Synth Wellness, you provide your name, email address, credit card information, address, phone number and a password. We use this information to process your order(s), to keep you updated on your purchases and to personalize your shopping experience.

RETURNS

We will gladly accept the return of products that are defective due to defects in manufacturing and/or workmanship. Fulfillment mistakes that may be made which result in the shipment of incorrect products to you will also be accepted for return.

SHIPPING POLICY

Shipping Time — Most orders will ship the same business day if received prior to 3 pm EST provided the product ordered is in stock. Orders are not processed or shipped on Saturday or Sunday, except by prior arrangement.

We cannot guarantee when an order will arrive. Consider any shipping or transit time offered to you by this site or other parties only as an estimate. We encourage you to order in a timely fashion to avoid delays caused by shipping or product availability.

TAXES

Our store will automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within the same state/province where Synth Wellness holds a presence. For orders shipped to other areas, you (the shopper) are solely responsible for any sales taxes and/or other taxes that may apply.

TYPOGRAPHICAL ERRORS

In the event a product is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, Synth Wellness shall have the right to refuse or cancel any orders placed for products listed at the incorrect price. Synth Wellness shall also have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Synth Wellness will issue a refund to your card in the amount of the incorrect price
